Payment Terms

Unless otherwise agreed in writing:

• Invoices are due within 14 days of issuance

• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

Client Responsibilities

Clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, materials, and access
• Ensure all provided content is legally compliant

Warranties and Disclaimers

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless RyuoLabs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to:

• Your violation of these Terms
• Your violation of any third-party rights
• Content you provide to us

Termination

We reserve the right to terminate or suspend your access to our Site or services at any time, without notice, for any reason, including but not limited to violation of these Terms.

Upon termination, your right to use the Site will immediately cease. Provisions that by their nature should survive termination (including intellectual property rights, disclaimers, and limitations of liability) will remain in effect.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.
